Welcome to Baltar. Please read on to learn the rules and restrictions that govern your use of our website(s), products, services and applications (the "Services"). The Services are only for use by individuals who are at least 18 years of age or the age of majority in their jurisdiction, whichever is greater.

These Terms of Use (the "Terms") are a binding contract between you and Baltar LLC ("Baltar," "we," and "us"). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document as well as those in the Privacy Policy and Copyright Dispute Policy.

PLEASE READ THESE TERMS CAREFULLY. THEY COVER IMPORTANT INFORMATION ABOUT SERVICES PROVIDED TO YOU. THESE TERMS INCLUDE INFORMATION ABOUT FUTURE CHANGES TO THESE TERMS, AUTOMATIC RENEWALS, LIMITATIONS OF LIABILITY, A CLASS ACTION WAIVER AND RESOLUTION OF DISPUTES BY ARBITRATION INSTEAD OF IN COURT.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Will these Terms ever change?

We are constantly trying to improve our Services, so these Terms may need to change along with our Services. We reserve the right to change the Terms at any time, but if we do, we will place a notice on our site located at https://baltar.ai, send you an email, and/or notify you by some other means.

If you don't agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.

What about my privacy?

Baltar takes the privacy of its users very seriously. Please refer to our Privacy Policy.

The Children's Online Privacy Protection Act ("COPPA") requires that online service providers obtain parental consent before they knowingly collect personally identifiable information online from children who are under 13 years of age. Our Services are not directed to children under 18 years of age, and we do not knowingly collect personal information from children under 13 years of age.

If we learn we have collected personal information from a person under 18 years of age, we will delete that information as quickly as possible. If you believe that someone under 18 years of age may have provided us personal information, please contact us at [email protected].

What are the basics of using Baltar's Services?

Baltar develops and operates mobile applications and related services. Some of our applications include AI-powered features such as AI chatbots or AI companions. You can interact with these features for companionship, journaling, self-reflection, and other personal use cases in accordance with these Terms.

You may be required to sign up for an account and provide certain information or data. You promise to provide us with accurate, complete, and updated registration information about yourself. You may not transfer your account to anyone else without our prior written permission.

You represent and warrant that you are an individual of legal age to form a binding contract (at least 18 years of age or the age of majority in your jurisdiction, whichever is greater).

You will only use the Services for your own internal, personal, non-commercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you.

Important Notice About AI Services

Some of our Services include AI-powered features for entertainment, companionship, journaling, and creative exploration. These Services are not a substitute for professional advice, including but not limited to medical, mental health, legal, financial, or other professional services.

You understand and acknowledge that:

  • AI technology has inherent limitations and may not always provide accurate, appropriate, or reliable responses.
  • You should not rely on the Services for critical decisions or professional guidance.
  • AI-generated responses do not constitute professional advice of any kind.
  • As AI technology is rapidly evolving, the capabilities and limitations of our Services may change over time.

No Medical Advice; Not for Emergencies

Baltar is a provider of software services and does not offer medical advice, diagnoses, or engage in the practice of medicine. Our Services are offered for communicative and entertainment purposes only and are not intended to be a substitute for professional medical advice, diagnosis, or treatment.

IF YOU ARE EXPERIENCING A MEDICAL OR MENTAL HEALTH EMERGENCY, STOP USING THE SERVICES IMMEDIATELY. Call 911 (or your local emergency number), go to the nearest emergency room, or contact the 988 Suicide and Crisis Lifeline (call or text 988).

Are there restrictions on how I can use the Services?

You represent, warrant, and agree that you will not provide or contribute anything to the Services, or otherwise use or interact with the Services, in a manner that:

  • Is defamatory, libelous, or verifiably false with the purpose of harming others;
  • Creates, solicits, or supports the creation of child sexual abuse material;
  • Promotes harm or injury to any person, self-harm, self-injury, or suicide;
  • Promotes terrorism or violent extremism;
  • Furthers or promotes criminal activity;
  • Exploits any vulnerabilities of a person;
  • Violates any law or regulation;
  • Jeopardizes the security of any account;
  • Violates the security of any computer network, cracks any passwords or security encryption codes;
  • Decompiles, reverse engineers, or otherwise attempts to obtain the source code of the Services; or
  • Infringes or violates the intellectual property rights of anyone else (including Baltar).

What are my rights in the Services?

The materials displayed or available through the Services, including text, graphics, data, photos, images, illustrations, and so forth (the "Content"), may be protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services.

You understand that Baltar owns the Services, including all software, technology, and intellectual property rights therein.

Licenses

For all user content, you grant us a license to translate, modify (for technical purposes), reproduce, and otherwise act with respect to such content to enable us to operate the Services and our businesses. For clarity, these license grants do not affect your ownership or other license rights in your content.

If you provide us with any feedback, suggestions, or feature requests, you grant us a license to freely use, modify, and commercially exploit the feedback.

Will the Services ever change?

We're always trying to improve our Services, so they may change over time. We may suspend or discontinue any part of the Services, or introduce new features or impose limits on certain features or restrict access to parts or all of the Services.

Do the Services cost anything?

The Services may be free or we may charge a fee for certain features. If you are using a free version, we will notify you before any Services begin carrying a fee. Certain paid services may be subject to automatic renewal — you can cancel at any time through your account settings.

For purchases made through the App Store or Google Play, refunds will be handled by the applicable store in accordance with their terms and conditions.

What if I want to stop using the Services?

You're free to do that at any time by contacting us at [email protected] or through your account settings. We are also free to terminate or suspend your access for any reason, including breach of these Terms.

Apple App Store Terms

If you use our iOS applications, the following additional terms apply:

  • Both you and Baltar acknowledge that the Terms are concluded between you and Baltar only, and not with Apple, and that Apple is not responsible for the application or any content.
  • The application is licensed to you on a limited, non-exclusive, non-transferable, non-sublicensable basis for your private, personal, non-commercial use.
  • You will only use the application in connection with an Apple device that you own or control.
  • Apple has no obligation to furnish any maintenance and support services with respect to the application.
  • In the event of any failure of the application to conform to any applicable warranty, you may notify Apple; Apple's sole warranty obligation will be to refund the purchase price, if any.
  • Baltar, not Apple, is responsible for addressing any claims relating to the application.
  • Baltar, not Apple, is responsible for the investigation, defense, settlement, and discharge of any intellectual property infringement claim.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or designated as a "terrorist supporting" country.
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms.

Warranty Disclaimer

THE SERVICES AND CONTENT ARE PROVIDED ON AN "AS-IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL BALTAR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY AMOUNT IN EXCESS OF THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO BALTAR IN THE 12 MONTHS PRECEDING THE APPLICABLE CLAIM.

Indemnity

You agree to indemnify and hold Baltar harmless from and against any and all claims, liabilities, damages, losses, and expenses arising from or related to your use of the Services and your violation of these Terms.

Arbitration Agreement

The parties shall use their best efforts to settle any dispute through good-faith negotiations. If not resolved, it shall be settled by binding arbitration in accordance with the JAMS Streamlined Arbitration Rules and Procedures, by one commercial arbitrator. ALL CLAIMS MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. YOU AND BALTAR WAIVE ANY RIGHT TO A JURY TRIAL.

Governing Law

These Terms are governed by and will be construed under the Federal Arbitration Act, applicable federal law, and the laws of the State of Wyoming, without regard to conflicts of law provisions.

Miscellaneous

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force. These Terms constitute the complete and exclusive agreement between you and Baltar.

Your use of Baltar's Services is at all times subject to our Terms of Use, which incorporates this Privacy Policy.

What This Privacy Policy Covers

This Privacy Policy covers how we treat Personal Data that we gather when you access or use our Services. "Personal Data" means any information that identifies or relates to a particular individual. This Privacy Policy does not cover the practices of companies we don't own or control.

Encryption of Data

We use industry-standard security technologies and procedures to protect your data. All transmitted data is encrypted using Transport Layer Security (TLS). All stored data is maintained on secure servers with multi-layered security controls including firewalls, access controls, and passwords.

While we use reasonable commercial efforts, no technology can be guaranteed to be 100% secure. In the event of a breach, we will notify you in accordance with applicable law.

How We Use Your Personal Data

We use your Personal Data for:

  • Operating and administering the Services — creating accounts, processing payments, providing support
  • Providing core functionality — enabling app features, personalizing your experience, syncing data
  • Monitoring and protecting — preventing fraud, ensuring security, monitoring for Terms violations
  • Analyzing and improving — aggregating data, improving features, developing product strategy
  • Marketing — sending information about our Services (with your consent where required)
  • Legal compliance — enforcing Terms, protecting rights, complying with legal obligations

How We Disclose Your Personal Data

We disclose Personal Data to:

California Resident Rights (CCPA)

California residents have the right to:

Nevada Resident Rights

If you are a Nevada resident, you have the right to opt-out of the sale of certain Personal Data. We do not currently sell your Personal Data as defined under Nevada law.

Copyright Dispute Policy

Effective date: October 1, 2025

In accordance with the DMCA, we've adopted the policy below toward copyright infringement. We reserve the right to block access to or remove material that we believe in good faith to be copyrighted material that has been illegally copied and distributed, and to remove and discontinue service to repeat offenders.

Procedure for Reporting Copyright Infringements

If you believe that material on our Services infringes your copyright, please send a notice containing:

  1. A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
  2. Identification of the copyrighted works being infringed;
  3. Identification of the infringing material with sufficient detail for us to locate it;
  4. Your contact information (address, telephone number, email);
  5. A statement that you have a good faith belief the material is not authorized by the copyright owner; and
  6. A statement made under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

Counter-Notice Procedure

If you believe material was removed in error, you may send a counter-notice containing:

  1. Your physical or electronic signature;
  2. Identification of the removed material and its prior location;
  3. A statement under good faith belief that removal was a mistake; and
  4. Your name, address, telephone number, and consent to jurisdiction.
